Terms and Conditions
Introduction
These Terms and Conditions form an integral component of any Sublease / Reservation Agreement between STAY PROPERTIES (the “Sublessor”), a Luxembourg based company registered under No B269779 with offices at 4, Rue de l'église L-4994 Schouweiler, and the client (the “Sublessee”). By making payment of the rental fee (or otherwise confirming a reservation) the Sublessee acknowledges and accepts these Terms.
1. Unit
The Sublessee is granted the right to use the furnished residential unit (the “Unit”) for the agreed Term. Some or all furnishings may be owned by the Sublessor; the underlying real property is owned by a third-party owner (the “Owner”). No proprietary interest is transferred; this is a temporary right of occupancy only.
2. Fees
Fees are payable via accepted card methods or bank transfer. Banking or issuer rejections may generate delays or costs which the Sublessee agrees are outside the Sublessor’s control. All payments must clear prior to (or as otherwise agreed for) access to the Unit.
3. Security Deposit
A security deposit may be required and held as assurance of performance. Deductions may be made for damage beyond normal wear, missing items, excessive cleaning, unpaid fees or other lawful charges. Return (less deductions) will occur within four (4) weeks where legally required or sooner when practicable. The deposit shall not be applied by the Sublessee toward rent unless expressly authorised in writing.
4. Cancellation Policy
A cancellation is only effective when acknowledged in writing by the Sublessor. If cancelled ≥14 days before check-in: 100% refund of paid fees. If <14 days before check-in: fees are non-refundable. Refund processing occurs as promptly as practicable and normally within 30 days after valid notice, subject to payment processor timelines.
5. Early Termination
The Sublessee may request early termination with a written 45‑day notice. Charges will be adjusted to the actual occupied period plus any applicable early termination or differential fees if stipulated.
6. Term Extensions
Extension requests must be submitted in writing at least 48 hours before the original termination date and are subject to availability, updated pricing, and payment of any additional fees before the extension is valid.
7. Use and Occupancy
The Unit is for private residential use only. No commercial, professional or unlawful activities. Occupancy is limited to the Sublessee and authorised occupants listed in the confirmation. Maximum: two (2) persons per bedroom. Additional or stay-over guests beyond stated limits require prior written approval.
8. Care of Unit
- Maintain cleanliness and original decorative condition; report damage promptly.
- Notify Sublessor of material maintenance or pest issues within 48 hours of discovery.
- Keep smoke / CO detectors functional (replace batteries as needed; do not tamper or remove).
- No unauthorised alterations, fixtures, adhesives, structural changes, external antennas or rewiring.
- Use ventilation to prevent moisture accumulation and mould formation.
9. Repairs & Maintenance
Standard support hours are 09:00–18:00 (Mon–Fri). Emergencies may be handled outside these hours. Authorized personnel may enter as permitted by law (immediately in emergencies). Certain amenities may be temporarily unavailable during repairs or upgrades without compensation beyond any statutory requirements.
10. Relocation
If the Unit becomes unavailable (e.g., essential repairs, force majeure) the Sublessor may offer a comparable alternative or issue a prorated refund for unused prepaid nights. Relocation requested by the Sublessee (non‑fault) may incur administrative fees.
11. Check‑in / Check‑out
Check‑in: after 15:00. Check‑out: by 10:00 local time unless otherwise confirmed in writing. Late departures may incur additional fees.
12. Background Checks
Where permitted or required by law, screening of the Sublessee or authorised occupants may be conducted. Failure to pass mandatory checks may result in cancellation consistent with the Cancellation Policy.
13. Building Regulations
The Sublessee must comply with all building / condominium rules and ensure guests likewise comply. Material or repeated violations constitute a breach and may result in termination.
14. Assignment / Subletting
No assignment, sublicensing or further subletting without prior written consent. Unauthorised transfer is a material breach.
15. Inspections
Routine inspections (non‑emergency) may occur with at least 24 hours’ notice unless law allows shorter notice.
16. Non‑Smoking Policy
The Unit and all adjacent/common areas are strictly non‑smoking (including balconies, entrances, windows). Each incident of violation may incur a EUR 500 fee plus actual remediation (deep cleaning, deodorising, repainting, soft‑furnishing or décor replacement). Continued violations allow immediate termination.
17. Furniture Policy
No furniture, fixtures or décor may be removed, stored off‑site, or disposed of without written consent. Loss or damage is chargeable at replacement or repair cost.
18. Keys & Access Devices
All keys, cards, fobs and access credentials must be returned at termination. Missing items may incur re‑keying and administrative charges.
19. Lockouts
Lockout assistance may be subject to a service fee, especially outside standard support hours.
20. Prohibited Activities
Illegal, hazardous or disruptive activities are forbidden. Any such conduct constitutes a serious breach and may justify immediate termination without refund.
21. Subordination
This Agreement is subordinate to any master lease or superior interest. Termination of the master arrangement may terminate this Agreement without liability beyond statutory obligations.
22. Termination Clause
The Agreement ends automatically at the Term conclusion unless extended in writing. Material breach may allow earlier termination pursuant to applicable law.
23. Vacating
Timely surrender is required. Holdover or failure to vacate may trigger additional daily fees, damages or statutory remedies.
24. Personal Property
The Sublessor is not liable for loss, theft or damage to personal property. Forgotten items may be handled on a reasonable‑efforts basis only.
25. Value Added Tax (VAT)
Unless expressly stated otherwise all amounts are deemed inclusive/exclusive of VAT as required by Luxembourg law. The Sublessee is responsible for any VAT due on taxable supplies.
26. Third‑Party Rights
No third party acquires enforceable rights under these Terms unless mandated by applicable statute.
27. Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg. Venue lies exclusively in its competent courts.
28. Limitation of Liability
Except where prohibited by law, the Sublessor is not liable for interruptions caused by force majeure, third‑party failures, utility outages, public authority actions or events beyond reasonable control.
29. Additional Services
Optional or ancillary services not expressly included in the reservation package are provided “as available” and may be withdrawn without liability.
30. Facilities Use
Use of building amenities (e.g., pool, gym, shared lounges) is at the Sublessee’s own risk and subject to all posted or communicated rules.
31. Force Majeure
Performance is suspended for the duration of any event of force majeure (including but not limited to natural disasters, governmental restrictions, epidemics, major utility failures) without breach.
32. Indemnification
The Sublessee indemnifies and holds harmless the Sublessor from losses arising from Sublessee’s (or authorised occupants’ / guests’) negligence, misconduct or breach, except to the extent caused by Sublessor’s gross negligence or wilful misconduct.
33. Notices
Unless specified otherwise, notices must be in writing and delivered by email to the addresses provided in the reservation confirmation. A cancellation request must be sent by email and is effective only upon written acknowledgment.
34. Miscellaneous
If any provision is held invalid, the remaining provisions remain enforceable. Amendments or waivers must be in writing. Headings are for convenience only.
35. Confidentiality
The Sublessee shall keep these Terms and any proprietary information confidential except where disclosure is required by law or for professional legal/tax advice under confidentiality obligations.
36. Limitation of Licensor Liability
Nothing herein limits liability for fraud or for death/personal injury caused by negligence where such limitation is prohibited by law. All implied warranties to the maximum lawful extent are disclaimed.
